Code of Ethics

The Standards of Business Ethics and Conduct Handbook (766k PDF file*) contains the policies, principles and practices applicable to all officers, employees and agents of SAIC. In addition, our most senior financial and executive officers are also subject to the Code of Ethics for Principal Executive Officer and Senior Financial Officers (125k PDF file*), which contains additional policy guidelines and procedures relating to legal and ethical standards for conducting company business.

Ethics at SAIC

SAIC is committed to the highest standards of business ethics. This commitment is clearly established in its Standards of Business Ethics and Conduct Handbook and through its Credo, Mission and Values Statements. These Statements dedicate SAIC to high ethical standards in the achievement of its corporate goal of delivering superior performance to our customers. The twin principles of quality and ethics have been the foundation of SAIC's success for over 35 years.

Three key principles are reflected in SAIC's Ethics Policies:

1. Ethical behavior at SAIC is an individual, as well as a management, responsibility.
2. SAIC insists that its employees act in an ethical manner.
3. Employees must disclose violations of our common ethical standards.

SAIC provides at least eight different channels through which employees can seek assistance or disclose ethical or compliance concerns. These include all levels of management and Human Resources, the Employee Ethics Committee, the Ethics Line, the SAIC Hotline, the General Counsel, the Vice President for Ethics and Compliance, the Audit Committee Chair, the Lead Director of the Board of Directors and the Chairman of the Board. Employees are encouraged to use any of these channels at any time. No matter what channel is used, each concern is thoroughly reviewed and investigated.
